1. Introduction and Acceptance

This document sets out the terms and conditions (“Terms”) governing the use of the twm.one website, the trading platform, and the local TWM software (collectively, the “Services”), developed and operated by:

TWM is the registered trademark under which ASKO SA provides its digital services for the twm.one website.

By using the TWM Services, the User declares to have read, understood, and fully accepted these Terms and Conditions. If the User does not agree with these terms, they must immediately refrain from using the website, the platform, or the software.

1.1 Language and Interpretation

In case of discrepancies, ambiguities, or misinterpretations arising from translations of the TWM software, website, or any part of the Services into other languages, the English version shall always prevail.

If any term, label, or interface element within the TWM software or documentation is not translated or appears unclear due to translation differences, the User must exclusively refer to the English-language version for accurate meaning and interpretation.

No legal action, claim, or dispute may be initiated against ASKO SA or TWM on the basis of misunderstandings, translation errors, or discrepancies between the English version and other localized versions of the Services.

2. Definitions

For the purposes of these Terms:

  • TWM: the web platform, local software, and all associated services provided by TWM.
  • User: the natural or legal person who accesses and uses the TWM Services.
  • Services: all features, tools, and resources made available through the website, the software, and the infrastructure managed by TWM.
  • Trading Providers: external and independent trading platforms (such as Binance, Bybit, Crypto.com, KuCoin, etc.) to which TWM connects via APIs.
  • TWM Software: local application installed on the User’s device that allows linking their accounts with the Trading Providers through personal API keys.
  • API Keys: access keys generated by the User on the Trading Providers’ websites to enable the connection between the TWM software and the User’s trading account.
  • Extensions: additional tools, strategies, indicators, or plugins developed by TWM or third-party partners and sold or provided through the platform.
  • Machine ID: a unique technical identifier of the device, similar to a MAC address, used to associate the software license with a specific device.

3. Purpose of the Service

3.1 Description of the Services

TWM offers free digital tools for analyzing, managing, and optimizing trading activities, including:

  • Financial market analysis: Advanced tools for technical and fundamental analysis;
  • Management and submission of trading orders: Through API connections to external Providers chosen by the User;
  • Strategies and indicators: Library of strategies, indicators, and extensions (available for separate purchase);
  • Validator: Tool for validating and testing trading strategies;
  • Optimizer: Functionality for optimizing strategy parameters;
  • Workspaces: Customizable work environments to organize and manage one’s trading activities;
  • Drawing tools: Graphic tools for technical analysis on charts;
  • Order Books: Real-time display and analysis of order books;
  • Custom programming: Ability to independently develop custom indicators and strategies using the tools provided by the platform, with no obligation for dedicated support from TWM;
  • Other technical and analytical tools: Additional features that TWM may introduce over time to improve the User experience. TWM reserves the right to remove any of the features described.

The User acknowledges that independently programming indicators and strategies is an advanced feature provided “as is,” and that TWM is not required to provide technical support or assistance for custom programming.

3.2 Nature of the Service

TWM is not:

  • A regulated financial brokerage platform;
  • A provider of custody services for funds or wallets;
  • A digital asset manager;
  • A provider of financial or investment advice.

TWM provides only the technological tool that facilitates the connection between the User and external Trading Providers. All funds, assets, and transactions are managed directly by the Trading Providers.

3.3 Business Model

TWM Services are offered free of charge to Users. TWM generates revenue through:

  • Commissions received from Trading Providers for affiliation;
  • Sale of strategies, indicators, and extensions developed in-house;
  • Sale of extensions provided by third-party partners, with revenue sharing.

4. Registration and Access to the Services

4.1 Requirements for Use

To use the TWM Services, the User must:

  • Be at least 18 years old or of legal age in their jurisdiction to enter into binding contracts;
  • Have an account with one or more external Trading Providers;
  • Provide accurate, complete, and up-to-date information during registration;
  • Maintain the confidentiality of their access credentials.

4.2 Data Collected During Registration

During registration or login, TWM collects the following data:

  • First and last name;
  • Email address (or Google Account credentials if used for access);
  • Device Machine ID;
  • Profile photo (optional);
  • History of email communications with TWM support.

All personal data are processed in accordance with the Privacy Policy available at twm.one/privacy and with the Swiss data protection law (nLPD) and, where applicable, the General Data Protection Regulation (EU GDPR 2016/679).

4.3 Machine ID and Devices Management

  • Single simultaneous device: Each User may use the TWM software on only one device at a time.
  • Machine ID reset: The User may reset the Machine ID at any time by accessing twm.one/profile and clicking the appropriate button.
  • Device change: To use TWM on a new device, the User must first reset the Machine ID from the previous device.
  • Purpose: This measure protects both the User and TWM by ensuring controlled and secure access to the software.

5. Use of the TWM Software

5.1 Connection via API

The TWM software allows Users to link their trading accounts with external Providers (such as Binance, Bybit, Crypto.com, KuCoin, etc.) via API keys generated directly on the official websites of the respective Providers.

Important technical characteristics:

  • API keys are never stored on TWM servers.
  • They remain stored locally on the User’s device.
  • They are used solely to establish a temporary connection with the Trading Provider.

5.2 Data Processed and Stored by TWM

TWM processes and stores only:

  • Trading orders: Orders submitted by Users, which are processed and then transmitted to the Trading Providers via their APIs;
  • Technical logs: Information necessary for the software’s operation and for diagnosing potential issues;
  • Registration data: Name, surname, email, Machine ID, profile photo (optional), history of email communications with support.

TWM does NOT store:

  • API keys;
  • Access credentials to Trading Providers;
  • Sensitive financial data (balances, wallets, full transaction history);
  • Trading account passwords.

5.3 Use of Device Resources

The TWM platform may use the User’s device resources, including:

  • CPU (processor);
  • RAM memory;
  • Graphics card;
  • Network connection (Internet).

These resources are necessary to ensure the proper functioning of the software and the connection to TWM services and external Providers.

TWM adopts reasonable measures to protect the privacy and integrity of the device. However, the User expressly acknowledges that TWM cannot guarantee the total absence of malfunctions or system interruptions during use of the platform.

5.4 Updates and New Versions

TWM reserves the right to introduce, at any time and without notice:

  • New features;
  • Improvements and optimizations;
  • Security updates;
  • Bug fixes;
  • New versions of the software.

By accepting these Terms, the User expressly consents:

  • To receive automatic updates necessary to ensure compatibility, security, and functionality of the software;
  • That TWM is not obliged to provide access to future versions of the software;
  • That installing updated versions may require acceptance of a renewed version of these Terms.

TWM reserves the right to remove features from its website and software.

5.5 Internet Connection Requirements

TWM requires an active and stable Internet connection to function correctly.

The User is solely responsible for any costs related to the connection or data traffic.

TWM may temporarily suspend access to the Services for scheduled maintenance, updates, or security reasons, informing Users when possible via the website or email.

6. User Representations, Warranties, and Indemnity

6.1 User Representations

The User represents and warrants that they:

  • Have full legal capacity to enter into and comply with this agreement;
  • Will use TWM in compliance with all applicable laws, rules, and regulations in their jurisdiction;
  • Will not use the Services for unlawful, fraudulent, or rights-infringing purposes;
  • Are solely responsible for their investment decisions and operations carried out via the Trading Providers.

6.2 Indemnification Commitment

The User expressly agrees to hold harmless, defend, and indemnify TWM, ASKO SA, its affiliated companies, directors, employees, partners, and suppliers from any:

  • Claim, legal action, judicial or extrajudicial proceeding;
  • Damage, loss, penalty, or expense (including legal and court fees);

arising from or connected to:

  • Breaches of these Terms and Conditions;
  • Violations of applicable regulations (financial, tax, data protection, etc.);
  • Infringements of third-party rights (intellectual property, privacy, etc.);
  • Improper, unlawful, or negligent use of the TWM platform;
  • Communications or content shared through TWM that cause claims or disputes.

The indemnification obligation remains valid even after termination of the contractual relationship with TWM.

7. Use of the TWM Platform and Financial Risk Warnings

7.1 Nature of Trading Activity

Trading and investment activities in financial markets involve significant risks of loss, including total loss of the capital invested.

7.2 User Responsibility

Before using TWM for financial operations, the User must:

  • Carefully assess risks, costs, and investment objectives;
  • Consider their own experience and knowledge of financial markets;
  • Consult, if necessary, a qualified professional financial advisor.

7.3 No Financial Advice

TWM does not provide:

  • Financial advice;
  • Operational or investment recommendations;
  • Personalized analyses;
  • Guarantees of returns or profits.

All investment decisions are made exclusively by the User, who assumes full responsibility for them.

Disclaimer of Financial Liability: The User expressly acknowledges and agrees that trading and investment activities involve substantial risks, including the loss of the entire capital invested. TWM, ASKO SA, and their affiliates, directors, employees, and partners shall under no circumstances be held liable for any financial loss, damage, or consequence arising from:

  • Use or malfunction of the TWM platform, software, or services;
  • Errors, bugs, or technical failures within the TWM system or connected Providers;
  • User mistakes, configuration errors, or misuse of the platform or API connections;
  • Trading strategies, indicators, or automated operations executed via TWM;
  • External factors, such as network interruptions, market volatility, or force majeure events.

All tools provided by TWM are intended solely as technical instruments. No responsibility, warranty, or compensation shall be due by TWM or ASKO SA for any trading result, profit expectation, or financial outcome, whether caused directly or indirectly by the use of the platform.

8. Trading Account and External Providers

8.1 Requirements

To access trading features, the User must:

  • Have an active account with one or more external Trading Providers (e.g., Binance, Bybit, Crypto.com, KuCoin, etc.);
  • Link that account to TWM via API keys generated on the official websites of the Providers;
  • Accept and comply with the terms and conditions of the chosen Providers.

8.2 Responsibilities of Providers

TWM does not intervene in any way in the management of:

  • Trading accounts;
  • Funds or wallets;
  • Transactions carried out on external Providers.

The User enters into separate and independent contracts with each Trading Provider and fully accepts the related terms of use, privacy policies, and applicable regulations.

8.3 No Involvement in User Transactions

TWM does not participate in transactions carried out by Users and does not have access to:

  • Trading account balances;
  • Digital wallets;
  • Complete operation histories (except for orders transmitted via TWM for technical purposes);
  • Funds or digital assets.

TWM provides only the technological tool that enables connection with the Providers and submission of trading orders. Any issues related to payments, transactions, or withdrawals must be handled directly with the relevant Trading Provider.

9. Payment Service Providers (PSPs)

9.1 Availability of PSPs

The offering of payment service providers (PSPs) or payment methods visible on TWM or accessible through the Trading Providers depends solely on:

  • The Trading Providers themselves;
  • Commercial agreements between the Providers and the PSPs.

TWM has no control or influence over the selection, availability, or operation of PSPs.

9.2 Payment Methods

All payment operations (deposits, withdrawals, transactions) take place exclusively through:

  • Secure pages of the PSPs;
  • The platforms of the Trading Providers.

TWM does not have access to sensitive information such as:

  • Credit/debit card numbers;
  • CVV or CVC codes;
  • Bank PINs or passwords;
  • Complete bank details.

9.3 Accounts with PSPs

For certain payment methods, the User may need to:

  • Create an account directly on the PSP’s website (e.g., PayPal, Stripe, etc.);
  • Accept the PSP’s specific terms and conditions;
  • Provide documentation to comply with KYC (Know Your Customer) and AML (Anti-Money Laundering) regulations.

TWM is not responsible for the activities, policies, or availability of PSPs integrated by the Trading Providers.

10. Limitations of Liability and Warranty Disclaimers

10.1 Platform Provided “As Is”

TWM provides its platform on an “as is” and “as available” basis, without any kind of warranties, express or implied, including but not limited to:

  • Warranties of freedom from errors, bugs, or malfunctions;
  • Warranties of continuity, reliability, or uninterrupted availability of the service;
  • Warranties of accuracy, completeness, or timeliness of the information provided;
  • Warranties of fitness for a particular purpose;
  • Warranties of non-infringement of third-party rights.

10.2 Exclusion of Liability for Trading Losses

TWM disclaims all liability for:

  • Financial losses arising from trading operations carried out by the User;
  • Investment decisions made by the User;
  • Malfunctions, delays, or interruptions of external Trading Providers;
  • Order transmission errors caused by the Providers or Internet connection issues;
  • Market fluctuations, volatility, or unforeseeable economic events.

Extended Disclaimer: This exclusion of liability applies even if such losses, damages, or disruptions are caused, in whole or in part, by:

  • Software bugs, programming errors, or technical failures within the TWM platform;
  • Server downtime, latency, or instability of the TWM infrastructure;
  • Incorrect data processing, display errors, or synchronization issues with Trading Providers;
  • Improper configurations, misuse, or negligence by the User;
  • Automated trading logic, indicators, or strategies executed through TWM;
  • Force majeure events, including power outages, cyberattacks, or network failures.

Under no circumstances shall TWM, ASKO SA, or their affiliates, directors, employees, or partners be required to compensate, refund, or indemnify any User for trading losses, lost profits, or any other direct or indirect damages resulting from the use or malfunction of the platform, whether foreseeable or not.

10.3 Exclusion of Liability for Technical Malfunctions

TWM is not responsible for:

  • Technical malfunctions of the software, website, or platform;
  • Service disruptions and/or errors for which the Trading Providers are responsible;
  • Service interruptions due to maintenance, updates, or force majeure;
  • Data loss caused by hardware failures, cyberattacks, or viruses;
  • Incompatibility of the software with the User’s device;
  • The User’s Internet connection issues;
  • Actions by third parties (hackers, Trading Providers, PSPs, etc.).

10.4 No Access to Financial Information

In the event of malfunctions or issues related to transactions, payments, or trading operations:

  • The User must contact their Trading Provider or PSP directly;
  • TWM does not have access to financial information or complete transaction records;
  • TWM cannot provide direct assistance for issues related to accounts, balances, or transactions managed by external Providers.

10.5 Exclusion of Indirect Damages

Under no circumstances shall TWM be liable for:

  • Indirect, consequential, incidental, or punitive damages;
  • Loss of profits, revenue, or business opportunities;
  • Loss of data or business interruption;
  • Moral damages or damage to reputation;

even if TWM has been advised of the possibility of such damages.

11. Intellectual Property

11.1 Rights of ASKO SA

All content on the twm.one website and the TWM software, including but not limited to:

  • Source code and software architecture;
  • Logos, trademarks, and distinctive signs;
  • Texts, graphics, images, and design;
  • Strategies, indicators, and extensions;
  • Technical documentation and manuals;

are the exclusive property of ASKO SA or their respective owners and are protected by Swiss and international intellectual property laws.

11.2 Registered Trademark

The TWM trademark is registered and protected. Any unauthorized use is prohibited and may result in legal action.

11.3 Limited Use License

ASKO SA grants the User a personal, non-exclusive, non-transferable, and revocable license to:

  • Use the TWM software exclusively for lawful personal purposes;
  • Access the content of the twm.one website.

The following are expressly prohibited:

  • Copying, modifying, distributing, selling, or assigning the software or any part of it;
  • Reverse engineering, decompiling, or disassembling the software;
  • Removing, altering, or obscuring copyright notices, trademarks, or other proprietary rights;
  • Using the software for commercial or competitive purposes;
  • Creating derivative works based on the TWM software.

12. Changes to the Terms and Conditions

12.1 Right to Amend

TWM reserves the right to amend these Terms and Conditions at any time for:

  • Adjustments to new legal or regulatory requirements;
  • Service improvements;
  • Introduction of new features;
  • Security or compliance reasons.

12.2 Communication of Changes

The changes will be:

  • Published on twm.one;
  • Communicated via email to registered Users, if the changes are material.

12.3 Acceptance of Changes

By continuing to use the Services after the publication of changes, the User accepts the new terms.

If the User does not accept the changes, they must immediately stop using the Services and may close their account.

13. Term and Termination

13.1 Term

The agreement between the User and TWM has an indefinite term, unless revoked or terminated by either party.

13.2 Termination by the User

The User may stop using the Services at any time by:

  • Uninstalling the software from their device;
  • Closing their account via:
  • Ceasing access to the website and the platform.

13.3 Suspension or Interruption by TWM

TWM may suspend or discontinue the Services, temporarily or permanently, in the following cases:

  • Breach of these Terms by the User;
  • Fraudulent, illegal, or abusive activities by the User;
  • Scheduled or urgent maintenance;
  • Security reasons (e.g., cyberattacks, critical vulnerabilities);
  • Business decision to cease the operation of the TWM project.

In the event of suspension for breach, TWM will inform the User via email where possible.

13.4 Data Retention and Deletion

In case of account closure or termination of the TWM project:

  • Personal data: Will be retained for the time necessary to comply with legal obligations (e.g., accounting, tax) and then permanently deleted;
  • Logs and orders: Will be deleted according to the timelines indicated in the Privacy Policy;
  • API keys: Since they are not stored on TWM servers, no deletion by ASKO SA is required.

14. Governing Law and Jurisdiction

14.1 Waiver of Class Actions

The User expressly waives the right to participate in class actions, collective actions, or group arbitration proceedings against TWM.

15. General Provisions

15.1 Entire Agreement

These Terms and Conditions, together with TWM’s Privacy Policy, constitute the entire agreement between the User and ASKO SA regarding the Services and supersede any prior agreement, communication, or understanding.

15.2 Severability

If one or more provisions of these Terms are found to be invalid, illegal, or unenforceable, the remaining provisions shall remain fully valid and effective.

15.3 Waiver

Failure by TWM to enforce any provision of these Terms does not constitute a waiver of the right to enforce it subsequently.

15.4 Assignment

The User may not assign, transfer, or delegate their rights and obligations under these Terms without TWM’s prior written consent.

TWM may assign, transfer, or delegate its rights and obligations to affiliated or subsidiary companies, or to third parties, upon notice to the User.

15.5 Force Majeure

TWM shall not be liable for delays or failures resulting from causes beyond its reasonable control, including but not limited to:

  • Natural disasters, wars, terrorist acts;
  • Power or Internet outages;
  • Cyberattacks, viruses, or malware;
  • Strikes, governmental measures, or supervening regulations.

15.6 Notices

All official communications between the User and TWM must be sent:

  • To the User: To the email address provided during registration;
  • To TWM: To info@twm.one or via the support page.

Communications are deemed received:

  • If sent via email or the support page: 72 hours after sending;
  • If sent by post: 9 business days after Swiss postal sorting.

16. Regulatory Compliance and Geographical Restrictions

16.1 User Compliance

The User is responsible for verifying and complying with all regulations applicable in their jurisdiction, including but not limited to:

  • Financial and tax regulations;
  • KYC (Know Your Customer) and AML (Anti-Money Laundering) regulations imposed by the Trading Providers;
  • Data protection regulations;
  • Restrictions on the use of cryptocurrencies or financial instruments.

16.2 Geographical Restrictions

TWM Services are offered globally, except where restricted by:

  • Trading Providers (which may limit access from certain jurisdictions);
  • Local regulations that prohibit the use of such tools.

TWM is not responsible for inability to access the Services due to geographical restrictions imposed by Providers or local laws.

18. Final Acceptance

By using the TWM Services, the User confirms that they:

  • Have fully read and understood these Terms and Conditions;
  • Accept all terms, limitations of liability, and warranty disclaimers contained herein;
  • Are fully aware of the risks associated with trading and financial investments;
  • Have the legal capacity to enter into this agreement.

If the User does not accept these terms, they must immediately stop using the Services.
